7 (9) Satış Sözleşmesi SALES CONTRACT 1. PARTIES
This purchase-sales contract is made between “Frutland GmbH, Germany “ situated in Lessingstr:1, 38350Hamburg, GERMANY (the buyer) and “Meysin Meyva A.Ş.” situated in Hürriyet sok., No: Mersin, TURKEY (the seller) 2. SUBJECT OF CONTRACT This contract covers the sale by the seller to the buyer of Anamur Type Bananas ,whose quantities and prices are given in article 3. 3. GOODS (Description, Quantity, Price, Packing) The prices are fixed, not subject to negotiation and unchangeable. boxes of Anamur Type Bananas. Prices are FOB Mersin Port and cover packing charges. The total amount of the contract is EURO in the words (fourtytwothousandfivehundredeuros) Each box will a net weight of 5 kg bananas and the boxes will be made of recycled double craft cartoon which will also have air wholes with 3cm diameter on everyside within every 2cm. In addition, each box will consist of special paper in order to avoid the moisture of the goods. 4. TERMS OF PAYMENT The goods to be dispatched under the conditions of contract will be paid for by irrevocable, confirmed and by acceptance letter of credit (draft at 60 days after shipment date) in favour of the seller, opened by the buyer in Hamburg, GERMANY to the sellers Bank HSBC, Mersin Branch in Mersin, TURKEY. 8 (9) Satış Sözleşmesi 5. TERMS OF SHIPMENT
The shipment will be done by vessel within 5 days after L/C is been received by the seller’s bank. The seller will not accept any responsibility due to the late arrival of the vessel to the port of loading. (Mersin Port) The goods will be inspected by SGS Turkey before loading and the charges will be covered by the seller. 6. FORCE MAJEURE The sides are released from the liability for partial or full non fulfillment of the obligations hereunder if such occurs as the result of force majeure circumstances, namely fire, flood, earthquake and war. The side which is rendered unable to fulfill the obligations hereunder should immediately inform the other side of the beginning and cessation of the above mentioned circumstances. The certificates issued by the Chamber Of Commerce of the Seller’s country or the Buyer’s country respectfully shall be sufficent proof of the existance and the cessation of the above mentioned circumstances. 7. GOVERNING LAW-ARBITRATION This agreement is to be governed by and construded in accordance wıth the substantive Laws of The Republic of Turkey and the disputes arising out of or relating to this Agreement or any of the documents or transactıons contemplated hereby shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce (the “Rules”) by 3 (three)arbitrators appointed in accordance with said Rules, two of whom appointed by each of the two Parties and the third one appointed by the other two arbitrators within (30) thirty days sincere the last of their appointments or- if no agreement is reached by them-by the International Court of Arbitration. The venue of arbitration will be Mersin, TURKEY. 8. INSURANCE Full insurance for the products from loading to discharging point will be covered by the buyer. 9. OTHERS Present contract has been signed in 2(two) originals for the parties. Both are binding. The original language of present contact is English. Present contract consist of total 10(ten) items. 11 (14) Geminin geç gelişinden dolayı yüklemenin 3 gün gecikmesi
Meysin Meyva A.Ş. hem proformada hem de satış sözleşmesinde geminin geç gelişinden dolayı herhangi bir sorumluluk kabul etmeyeceğini belirttiğinden dolayı oluşan ardiye masraflarını ithalatçı firmadan talep etme hakkına sahiptir. Eğer sözleşmesinde bunu belirtmemiş olsaydı, geminin acentesi ile temasa geçip hem ardiyesiz limana giriş hem de cut-off tarihini öğrenerek malları limana sokması gerekirdi. Aksi takdirde oluşan ardiyeyi ödemek zorunda kalırdı.

12 (14) SGS Raporu Akreditifin koşullarından biri olan SGS raporu yerine getirilmiştir. SGS’nin muayene sonucunun ne olduğu akreditifi bağlamaz. Bu durumda rezerv çıkmaz. Ancak yapılması gereken SGS Raporu tamamlandıktan sonra Frutland firmasına bir kopyasını göndererek Meysin’in bilgi vermesi ve bunu bu şekilde kabul edip etmediğini onaylatması idi. Çünkü satış sözleşmesinde «geri dönüşümlü» ibaresi açıkça belirtilmiş ve Frutland bu durumu kabul etmeyip, sözleşmeyi feshetme hakkına sahiptir.

13 (14) Limanda Bekleme Masrafları
Meysin istenilen zamanda malları konteynere yükleyip limana göndermiştir ve malların yüklenmesini aynı zamanda gemi personeli nezaret etmiştir. Meysin bu bilgileri Frutland firmasına bildirdi ise geminin 2 günlük veya daha fazla beklemesinden dolayı doğacak masrafları Frutland’dan talep edebilir. Frutland’a geminin hala yükleme limanında olduğunu yazılı olarak bildirip, Meysin olarak üzerimize düşeni yaptığımıza dair tutanağı gönderip, liman bekleme masraflarını talep edebiliriz.

14 (16) Akreditif koşullarının uygunluğu
Herhangi bir rezerv yoktur. Olma ihtimali varsa bankaya vesaikleri ibraz ettiğimizde banka gerekli incelemeleri yapıp, rezerv bulması durumunda Meysin A.Ş.’ye bilgi verecektir.

15 (19) Reeferların arızalanması
Gemi artık yol alıyor durumda olduğu için Meysin A.Ş’nin artık sorumluluğu bitmiştir. Gemi seyahat esnasında reeferlar arızalandığı için kaptan’ın bu durumu acenteye bildirmesi, acentenin de Frutland’a bilgi vermesi gerekir. Ayrıca mallar tahliye limanına vardığında firma yetkilisi, sigortacısı ve acente yetkilisi limana gitmeli ve Reefer chartlardan rapor tutulup, survey yapılmalıdır. Bu durumda eğer Frutland malların sigortasını bu durumu kapsayacak şekilde yaptı ise (All Risks-Geniş Teminat+Reeferların aralıklı arızalanması durumunda ek teminat) sigortadan parasın alır ve sigorta armatöre dönüp parasını almak için claim açtırır. Ayrıca Frutland bu durumu mutlaka Naturland Essen’a haber vermelidir.

16 (20) Naturland Essen’ın iskonto talebi
Frutland bu hasarla ilgili gerekli işlemleri yerine getirerek sigortadan parasını aldı ise %15’lik iskontoyu yapmalıdır. Ancak Frutland malın sigortasını yapmadı ise ve bununla ilgili zararda ise, çingenece bu iskontoyu yapmamak için diretmelidir ancak sonunda eğer Naturland Essen ile bir sözleşme ve sözleşme şartlarına uymamak söz konusu ise yapacak bir şey yoktur. Paşa paşa bu iskontoyu yapacaktır.

17 (21) Sigorta sorumluluğu
FOB bir yükleme olduğu için sigorta yapma yükümlülüğü ithalatçıdadır. Sigorta All Risk içeren geniş kapsamlı bir sigorta olmalıdır. Ayrıca Reefer yükleme olduğu için aralıklı arızalanması durumunu içeren ek teminat yapılmalıdır. Mümkünse sigortacı ile malların hassasiyeti görüşülüp bununla ilgili ne gibi ek teminatlar gerekiyorsa yaptırılıp, primi ona göre ödenmelidir. Sigorta hiçbir zaman %100 teminat sağlamaz çünkü sigorta şirketleri bu meblağları ödememek için ne yapıp ne eder bir madde bulurlar.
